SECTION 23  SOCIETY REPRESENTATIVES 

23.1  SOCIETY REPRESENTATIVES

Unless provided otherwise in the IEEE Computer Society Policies & Procedures Manual, or documents that take precedence, this subsection applies to society representatives.

Representatives should represent, be guided by, and exercise their vote in the best interests of the IEEE and the IEEE Computer Society. Where a Board of Governors approved policy exists, the representative shall follow that policy. Where a Board of Governors approved policy does not exist, the representative shall seek advice from the person who appointed the representative.  The president, acting on behalf of the Board of Governors, may elect to direct the vote of the representative. The representative should help shape the views of the society and be guided by them.

On issues that appear not to affect the society, or for which no society entity shows interest, representatives should use their best judgment.

In accordance with the IEEE Code of Ethics, society representatives shall make known the circumstances of a conflict of interest situation so that all parties dealing with the specific issue are aware of that conflict of interest. Society representatives shall handle private conflict of interest situations so that no discredit is brought upon the society.
