AT&T-DirecTV Deal Contingent on US Football Contract

A pending $48.5 billion deal for AT&T to purchase the DirecTV satellite-television operator hinges upon the latter renewing a deal with the US’s National Football League (NFL). DirecTV currently has an exclusive right to offer the popular $300 NFL Sunday Ticket football package—which lets subscribers watch every Sunday game broadcast outside their local markets—through the 2014-14 season. There are about 2 million subscribers to that service, which is valued at about $1 billion per year. If DirecTV fails to secure a new contract with the league, AT&T can back out of the deal to buy the company, according to a recent regulatory filing. AT&T Is Buying DirecTV for $48.5 Billion

AT&T has announced that it plans to buy satellite-television provider DirecTV in a $48.5 billion deal. The wireless industry and the US television market are consolidating as the public increasingly uses their mobile devices for viewing content. DirecTV is the leading US satellite-TV provider with 20 million customers. AT&T is the second-largest wireless provider with 116 million customers. The companies expect the deal to close in about a year. AT&T Negotiating DirecTV Purchase

Telecommunications giant AT&T is in discussions to purchase satellite-TV provider DirecTV, in what may be a $50-billion deal, within two weeks, according to Reuters. AT&T is offering roughly $90 per share for DirecTV, although it previously said it would offer $100 share. Details are still being discussed, but DirecTV would reportedly operate as a unit of A&T. This is the latest telecommunications consolidation megadeal. Comcast and Time Warner Cable may also be merging in a deal valued at $45 billion. AT&T May Back Out of US Spectrum Auction

AT&T is threatening not to participate in a major US spectrum auction of airwaves if regulators reserve some spectrum for smaller companies. The US Federal Communications Commission is drafting rules for a pending auction of spectrum now being used by television stations. The draft proposal would set aside up to 30 MHz of spectrum in each market for those wireless carriers without dominant blocks of low-frequency spectrum, according to Reuters. Wireless carriers are keen to secure precious spectrum to ensure they can deliver faster, better services to consumers. AT&T, the second-largest wireless carrier in the US, says these limits would cause it to rethink participating in the auction. “AT&T has never declined to participate in a major spectrum auction and certainly did not intend to do so here,” stated Joan Marsh, vice president of federal regulatory affairs at AT&T. “But if the restrictions as proposed are adopted, AT&T will need to seriously consider whether its capital and resources are directed toward other spectrum opportunities that will better enable AT&T to continue to support high quality LTE network deployments to serve its customers.” The auction, in which television spectrum would be relinquished to the government for sale at auction to wireless companies, is slated to occur in mid-2015. AT&T Announces Multi-Million-Dollar Spectrum Investment

AT&T stated Tuesday it will spend US$780 million in cash to obtain more wireless spectrum. It is purchasing the US retail wireless operations of Atlantic Tele-Network -- a carrier with operations primarily in rural areas of six states -- including the company’s wireless spectrum licenses, network assets, retail stores, and approximately 585,000 subscribers. The spectrum it will obtain are licenses for the 700MHz – used for its 4G LTE -- 850MHz, and 1900MHz bands. The latter bands are used by AT&T for its 2G and 3G networks. AT&T had attempted to purchase T-Mobile in 2011, but it was not approved by regulators. AT&T has concentrated on smaller deals to acquire spectrum. Regulators must still approve the transaction.
